Vendor Terms & Conditions

1.1 Eligibility

• Vendors must be at least 18 years of age and legally capable of entering into a binding agreement.
• Vendors must provide accurate and complete information during registration, including business name, contact details, address, and valid identification documents if requested.

1.2 Verification

• The platform reserves the right to verify the identity and business information of any vendor before or after account approval.
• Submission of false, misleading, or fraudulent information may result in immediate suspension or permanent termination of the vendor account.

1.3 Account Responsibility

• Vendors are solely responsible for maintaining the confidentiality of their login credentials.
• Any activity conducted under the vendor account will be deemed the responsibility of the account owner.

1.4 Right to Approve or Reject

• The platform reserves the absolute right to approve, reject, suspend, or terminate any vendor registration without prior notice if it believes that the vendor violates platform policies or applicable laws.

2.1 Product Authenticity

• All listed products must be genuine, legal, and comply with applicable US federal, state, and local laws and regulations, including product safety rules.
• Counterfeit, copied, prohibited, or illegal products are strictly forbidden.

2.2 Product Information

• Vendors must provide accurate product titles, descriptions, specifications, pricing, and images.
• Misleading information or deceptive advertising is prohibited.

2.3 Product Images

• Vendors must only use images that they own or have the legal right to use.
• Images containing watermarks of third-party marketplaces or copyrighted material may be removed.

2.4 Restricted Products

The following categories are not permitted:

• Illegal or prohibited items.
• Counterfeit or trademark-infringing products.
• Weapons, explosives, or hazardous materials.
• Adult, obscene, or offensive content.
• Products prohibited by applicable laws or government regulations.

2.5 Listing Management

• The platform reserves the right to edit, hide, or remove any product listing that violates these policies without prior notice.

3.1 Order Processing

• Vendors are responsible for processing and preparing orders within the timeframe specified by the platform.
• Failure to process orders on time may affect vendor performance ratings.

3.2 Packaging Standards

• Products must be securely packaged to prevent damage during transit.
• Vendors are responsible for ensuring that the shipped item matches the order details.

3.3 Shipping Responsibility

• Vendors must dispatch orders through the platform's approved logistics partner(s) or according to the shipping method designated by the platform.
• Vendors must provide accurate shipment information and cooperate with logistics providers when necessary.

3.4 Failed Deliveries & Returns

• If an order is returned due to incorrect information, customer refusal, or vendor error, the platform reserves the right to deduct applicable return shipping charges from the vendor's payable balance.
• Repeated shipment failures may lead to account review or suspension.

3.5 Damaged or Incorrect Products

• Vendors are responsible for losses arising from damaged, defective, or incorrect products delivered to customers.

4.1 Commission Structure

• The platform will charge a commission on every successful order based on the agreed commission rate applicable to the vendor category.
• Commission rates may be revised by the platform with prior notice.

4.2 Payment Schedule

• Vendor payouts will be processed according to the platform's payout cycle (e.g., weekly, bi-weekly, or monthly), subject to successful order completion and return settlement.
• Payments will be transferred by ACH to the vendor's registered US bank account.

4.3 Deductions

The platform reserves the right to deduct the following from vendor payouts:

• Platform commission.
• Delivery and return charges (where applicable).
• Refunds and customer compensation.
• Penalties resulting from policy violations.
• Any outstanding fees owed by the vendor.

4.4 Refunds & Chargebacks

• If a customer receives a refund due to a vendor-related issue (wrong product, damaged item, counterfeit product, etc.), the refund amount and associated costs may be recovered from the vendor.

4.5 Tax Compliance

• Vendors are solely responsible for complying with all applicable tax obligations, including sales tax and income tax, duties, and other government-imposed charges related to their business activities.

By listing products on the platform, vendors authorize Qovend to use product images, descriptions, and brand assets for promotional and marketing purposes across digital channels.

The platform may provide optional services such as product photography, graphic design, video editing, advertising, and digital marketing support. Additional service fees may apply where applicable.

Vendors must not:

• Provide false or misleading information.
• Manipulate product reviews or ratings.
• Circumvent platform commission by completing transactions outside the platform.
• Upload copyrighted or unauthorized content.
• Engage in fraudulent, abusive, or unlawful activities.

Violation of these rules may result in account suspension, withholding of payments, or permanent account termination.

The platform reserves the right to suspend or terminate any vendor account without liability if:

• The vendor violates these Terms & Conditions.
• Fraudulent or illegal activity is detected.
• Repeated customer complaints or poor service quality are observed.
• The vendor attempts to bypass platform rules or payment systems.

Any pending payments may be withheld until investigations are completed.

Qovend acts solely as an online marketplace connecting vendors and customers. The platform is not the manufacturer or owner of the products sold by vendors and shall not be liable for product quality, warranties, or vendor-specific obligations, except as required by applicable law.

The platform reserves the right to update or modify these Terms & Conditions at any time. Continued use of the platform after any changes constitutes acceptance of the updated policies.

By registering and operating as a vendor on Qovend, you acknowledge that you have read, understood, and agreed to these Vendor Terms & Conditions and all associated marketplace policies.
